Client Responsibilities

Content and Materials

  • Provide accurate and complete project information
  • Supply all required content, images, and materials in a timely manner
  • Ensure all provided content is original or properly licensed
  • Review and approve project milestones within agreed timeframes

Communication and Feedback

  • Maintain regular communication throughout the project
  • Provide clear and constructive feedback
  • Respond to requests for information within 48 hours
  • Designate a primary point of contact for the project

Payment Terms

Project Payments

  • 50% deposit required before project commencement
  • Remaining balance due upon project completion
  • Payment plans available for projects over $10,000
  • All payments are non-refundable once work has begun

Late Payments

  • Late fee of 1.5% per month on overdue amounts
  • Services may be suspended for accounts 30+ days overdue
  • Client responsible for all collection costs

Project Timeline and Revisions

Timeline

  • Project timelines are estimates based on client cooperation
  • Delays in client feedback may extend project completion
  • Rush projects available for additional fees

Revisions

  • Each project phase includes specific revision rounds
  • Additional revisions beyond scope charged at hourly rates
  • Major scope changes require new project agreement

Intellectual Property

Client Ownership

  • Client owns final website and custom code upon full payment
  • Third-party licenses (themes, plugins) remain with original owners
  • Client responsible for ongoing license fees if applicable

Portfolio Rights

  • Upscale Sites may showcase completed work in portfolio
  • Client may request confidentiality for sensitive projects
  • Upscale Sites retains rights to development methodologies

Warranties and Disclaimers

Service Warranty

  • 30-day warranty on all development work
  • Bug fixes and technical issues covered at no charge
  • Warranty void if client modifies code or hosting environment

Disclaimers

  • No guarantee of specific business results or traffic increases
  • Third-party service availability not guaranteed
  • Client responsible for content accuracy and legality

Limitation of Liability

Upscale Sites' liability is limited to the total amount paid by the client for services. We are not liable for:

  • Lost profits or business opportunities
  • Third-party service failures
  • Data loss due to client actions
  • Consequential or indirect damages

Termination

Project Termination

  • Either party may terminate with 30 days written notice
  • Client responsible for payment of completed work
  • All deliverables become property of client upon payment

Breach of Terms

  • Immediate termination for material breach
  • Non-payment constitutes material breach
  • Abusive behavior towards staff grounds for termination
